As 2020 comes to a close, Byron has released the third edition of his treatise, EGAN ON ENTITIES: Corporations, Partnerships and Limited Liability Companies in Texas, to reflect the far-reaching statutory changes and case law developments from the past two years.
“Legislators in Texas and Delaware meet regularly, and as a result—over a two-year span—there have been substantial changes in the statute laws. There are also new cases that interpret the statutes and the common law,” Byron noted. “Practically every page in the book has changed to keep up to date with the changes in tax laws and regulations.”
Of the approximately 900 pages in the second edition, about 800 pages have been updated and 100 pages have been added. In addition to discussing the statutory changes made by the legislatures of Texas and Delaware, Byron covers recent cases which impact entity governance, mergers and acquisitions, and joint venture formation. He also explores tax amendments that impact the matrix of considerations on which entity is best for a given transaction.

Meet Byron
Based in Dallas, Byron F. Egan regularly handles business combinations of corporations, limited liability companies, and partnerships, including mergers and acquisitions, purchases and sales of stock, and other equity interests, and sales and exchanges of assets. He also handles the related entity governance and structure issues. Byron is the only attorney to have received the Burton Award for Legal Achievement four times and is consistently recognized among the top corporate and M&A lawyers in Texas by a number of publications. Last year, he was honored as Chair Emeritus of the State Bar of Texas’ Choice, Governance & Acquisition of Entities Course, which he co-founded in 2002.
