Macfarlanes advises Exponent Private Equity on acquisition of KPMG’s pensions advisory practice

Macfarlanes has advised Exponent Private Equity on the acquisition of KPMG’s pensions advisory practice.

KPMG’s pensions advisory division advises clients on the management of pension assets worth over £50bn. The sale will see all 20 pension partners and 500 staff from KPMG transfer to a special purpose vehicle owned by Exponent and the partners, including the UK head of pensions, Andrew Coles, who will take up the role of chief executive.

The Macfarlanes team for this matter was led by corporate and M&A partner Alex Edmondson with assistance from corporate and M&A senior solicitor Alice Temkin. Commercial advice was provided by partner Malcolm Walton and financial expertise came from partner Christopher Lawrence.

Alex Edmondson comments: “This was a landmark deal, being the first team to spin out from KPMG as part of their restructuring, with a number of complexities, which we are delighted to have helped Exponent execute.”
