Clifford Chance advises 3i on investment of EUR 120 million in Lampenwelt

Clifford Chance advised Privat Equity company 3i on an investment of EUR 120 million in Lampenwelt, the largest European online specialist in the lighting space. 3i will invest alongside management and one of the current owners of the business, Walter Neumüller. In addition, 3i will provide a short term refinancing loan to Lampenwelt of EUR 54 million.

Founded in 2004 by Thomas Rebmann and his brother Andreas Rebmann, Lampenwelt is the leading specialty online retailer of lighting products in Europe. The company is headquartered in Schlitz near Frankfurt am Main, Germany. From there, it distributes own-brand and 3rd party products to customers in 12 countries across Europe. The company generated EUR 61 million of sales in 2016, of which 45% came from outside Germany, and has grown strongly in Germany and through a steady roll-out across Europe in recent years. The transaction is subject to customary and anti-trust approvals.

3i is an investment company with two complementary businesses, Private Equity and Infrastructure, specialising in core investment markets in Northern Europe and North America and backing entrepreneurs and management teams of mid-market companies with an enterprise value typically between EUR 100 million and 500 million.

Die internationale Anwaltssozietät Clifford Chance hat das Private Equity-Unternehmen 3i bei einer Investition von EUR 120 Mio. in Lampenwelt beraten, den größten europäischen Online-Fachmarkt für Lampen und Leuchten. Neben 3i werden auch das gegenwärtige Management und einer der Eigentümer, Walter Neumüller, in das Unternehmen investieren. 3i wird zusätzlich ein kurzfristiges Refinanzierungsdarlehen über EUR 54 Mio. zur Verfügung stellen.

Lampenwelt wurde 2004 von den Brüdern Thomas und Andreas Rebmann gegründet und entwickelte sich schnell zum führenden Online-Fachmarkt für Lampen und Leuchten in Europa. Das Unternehmen hat seinen Sitz in Schlitz nahe Frankfurt am Main. Von dort vertreibt Lampenwelt eigene Markenprodukte, aber auch Produkte dritter an Kunden in zwölf europäischen Ländern. Das Unternehmen erwirtschaftete 2016 einen Umsatz von EUR 61 Mio. 45% des Umsatzes wurden dabei außerhalb Deutschlands erzielt. Lampenwelt ist in Deutschland in den vergangenen Jahren stark gewachsen und hat zudem kontinuierlich weitere Märkte in Europa erschlossen. Die Transaktion steht noch unter dem Vorbehalt der üblichen Genehmigungen und der kartellrechtlichen Zustimmung.

3i ist eine Investmentgesellschaft mit zwei sich ergänzenden Geschäftszweigen, Private Equity und Infrastruktur. Das Kerngeschäft von 3i deckt die Märkte Nordeuropa und Nordamerika ab. 3i unterstützt dabei Eigentümer und Management-Teams mittelgroßer Unternehmen mit einem Wert zwischen üblicherweise EUR 100 Mio. und EUR 500 Mio.
